Purpose and Acceptance of the Agreement

This Retainer Agreement (“Agreement”) establishes the terms and conditions under which Pax Law Corporation (“the Firm”) agrees to provide legal services to you (“the Client”). By signing this Agreement, you acknowledge that you have read, understood, and agreed to be bound by its terms.

Governing Law and Professional Regulation

This Agreement is governed by and interpreted in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada.

Where legal services are provided to clients residing in Ontario, or where a matter otherwise falls under the jurisdiction of the Law Society of Ontario, this Agreement is also subject to the Rules of Professional Conduct of the Law Society of Ontario, including rules governing fees, conflicts of interest, withdrawal, and client communications.

This Agreement constitutes a legally binding contract between you and the Firm and governs the scope of services, professional responsibilities, and client obligations in accordance with applicable legislation and professional rules.

Professional Fees and Flat-Fee Retainers

Legal fees are earned as services are performed. For flat-fee retainers, a substantial portion of the work is completed prior to or at the time of submission, and upon submission, most or all fees will ordinarily be considered earned, subject to applicable Law Society rules.

I understand that if any updates are requested on my application, including the submission of additional forms, documents, or explanations, Pax Law Corporation will charge additional fees to prepare and submit such materials on my behalf. The same applies to any changes requested after the application has been submitted, including but not limited to changes in marital status, contact information, family composition, employment information, or any other amendments to the application. Such services will be billed separately on an hourly basis in accordance with Pax Law Corporation’s applicable hourly rates.

Convention Refugee Claim: This retainer covers the provision of legal services in relation to the preparation and submission of a Convention Refugee Claim for the Principal Applicant and any included family members. This scope includes legal consultation and case strategy, preparation and completion of the Basis of Claim (BOC) Form, review and organization of supporting documents provided by the Client, preparation of standard supporting materials, and routine written correspondence with Immigration, Refugees and Citizenship Canada (IRCC), the Immigration and Refugee Board (IRB), and/or the Canada Border Services Agency (CBSA), as applicable. This retainer covers routine services only and does not include non-routine or complex work, including but not limited to preparation of specialized evidence (such as military, security, or expert documentation), responding to extensive CBSA investigations, attendance at additional interviews beyond standard processing, representation at hearings before the Refugee Protection Division (RPD), Ministerial interventions, exclusion proceedings, appeals, judicial review applications, or post-decision matters, unless expressly agreed in writing. Any additional or non-routine services will be billed at the Firm’s hourly rate of $500 per hour unless otherwise agreed. Where CBSA requests additional information only, a flat fee of $1,500 (tax included) applies, which includes review of documents, preparation of required materials, and written correspondence. Where CBSA actively participates in proceedings, raises exclusion issues, or intervenes in hearings, such matters are treated as non-routine and a flat fee of $3,500 (tax included) applies for preparation and representation, regardless of attendance or outcome. The Client acknowledges that eligibility for refugee protection is governed by the Immigration and Refugee Protection Act and applicable regulations, including any legislative or policy changes (including but not limited to Bill C-12), which may affect eligibility or the continuation of the claim. Fees are charged for professional services performed and are not contingent on the outcome of the matter. Once work has commenced, fees are earned based on services performed and may not be refundable in the event of withdrawal, abandonment, delay, refusal to proceed, or changes in eligibility. The professional fee for this service is based on the number of applicants included in the claim and includes applicable taxes and standard government or application-related fees. For a single applicant (Principal Applicant only), the total fee is $5,880.00. For a family of two (Principal Applicant and one co-applicant), the total fee is $8,400.00. For a family of three, the total fee is $10,920.00. For a family of four, the total fee is $13,440.00. For a family of five, the total fee is $15,960.00. For a family of six, the total fee is $18,480.00. *

Convention Refugee Claim + Pre-Removal Risk Assessment (PRRA) — Package Deal: This retainer covers the provision of legal services in relation to a combined legal services package consisting of a Convention Refugee Claim and, where applicable and available, a Pre-Removal Risk Assessment (PRRA) application. The Firm will provide legal consultation and case strategy, including review of the Client’s immigration history, identity documents, travel history, family composition, and claimed risk factors, and will advise on overall case strategy and procedural options. For the Convention Refugee Claim portion, the Firm will take instructions from the Client, prepare and complete the Basis of Claim (BOC) Form, review and organize supporting documents provided by the Client, prepare standard supporting materials, and submit the refugee claim package where authorized and able to do so. The Firm will provide routine written correspondence with Immigration, Refugees and Citizenship Canada (IRCC), the Immigration and Refugee Board (IRB), and/or the Canada Border Services Agency (CBSA), and general guidance regarding biometrics, interviews, scheduling, procedural steps, and document requests. Preparation for a refugee hearing may include general preparation meetings; however, representation at a hearing before the Refugee Protection Division (RPD) is not included unless expressly agreed in writing. For the PRRA portion, where the Client becomes eligible, the Firm will review eligibility, timing, and risk factors, prepare and draft PRRA forms, affidavits, and written submissions, review updated country condition evidence and client-specific documentation, and submit the PRRA application and supporting materials where authorized and able to do so. Routine correspondence with relevant immigration authorities in relation to the PRRA is included. If the Client signs this agreement prior to receiving a PRRA invitation or package, $1,500.00 of the total fee will be allocated immediately toward the preliminary preparation of PRRA documentation based on the refugee claim materials submitted, ensuring the file is as complete as possible in anticipation of eligibility. This retainer covers routine services only and does not include non-routine or complex work, including but not limited to: preparation of specialized or expert evidence; extensive CBSA investigations or enforcement actions; admissibility or exclusion proceedings; detention reviews; Ministerial interventions; judicial review applications, stays of removal, mandamus applications, appeals, reconsideration requests, or any Federal Court proceedings; humanitarian and compassionate applications; work permit, study permit, or permanent residence applications; or any other immigration matters not specifically listed above. Interpretation, translation, notarization, medical examinations, expert reports, filing fees, courier charges, and other disbursements are not included. Any additional or non-routine services, including those arising from inconsistencies, credibility issues, missed deadlines, urgent work, or extraordinary complications, will be billed at the Firm’s hourly rate of $500 per hour unless otherwise agreed in writing. The Client acknowledges that eligibility for refugee protection and PRRA is governed by the Immigration and Refugee Protection Act and applicable regulations, including any legislative or policy changes (including but not limited to Bill C-12), which may affect eligibility or continuation of the matter. Fees are charged for professional services performed and are not contingent on the outcome. Once work has commenced, fees are earned based on services performed and may not be refundable in the event of withdrawal, abandonment, delay, refusal to proceed, or changes in eligibility. Fees and Payment: Fees are charged for professional services performed and are not contingent on the outcome. The total professional fee for this combined service for one person is $8,288.00 (inclusive of 12% tax), consisting of $4,500.00 (plus $540 tax) for the Convention Refugee Claim and $2,900.00 (plus $348 tax) for the PRRA. This total fee is payable in six equal installments of $1,381.00 each. For each additional family member included in the file, an additional fee equal to 25% of the total fee for one person, being $2,072.00, will be added. Should the IRCC not issue a PRRA invitation, the $1,500.00 allocated for preliminary PRRA preparation and eligibility assessment will be retained by the Firm as earned fees for services performed and will remain non-refundable. *

Combined (Protection-Seeker) Legal Services Package: Scope of Services: This retainer covers legal services for a combined immigration package consisting of: (1) a Convention Refugee Claim in the context of legislative changes including but not limited to Bill C-12; (2) a Humanitarian and Compassionate (H&C) Permanent Residence Application; and (3) a Pre-Removal Risk Assessment (PRRA) application, if and when the Client becomes eligible. The Firm will provide legal consultation and case strategy, including a review of the Client’s immigration history, identity documents, travel history, family composition, and claimed risk factors, and will advise on the coordination of the refugee claim, H&C application, and PRRA strategy. Refugee Claim (Post-C-12): The Firm will take instructions from the Client, prepare and complete the Basis of Claim (BOC) Form, review and organize documents provided by the Client, prepare routine supporting materials, and submit the refugee claim package where authorized and able to do so. The Firm will provide routine correspondence related to the filing process and guidance on biometrics, eligibility steps, interviews, scheduling, and standard procedural requirements. The Client acknowledges that legislative changes, including Bill C-12, may affect eligibility for referral to the Refugee Protection Division (RPD), and no guarantee of eligibility or referral is provided. Representation at any refugee hearing is not included unless separately agreed in writing. Humanitarian and Compassionate (H&C) Application: The Firm will assess the basic merits of an H&C application, prepare and submit the application, draft written submissions addressing key H&C factors such as establishment in Canada, best interests of affected children, and hardship upon return, and review supporting documentation provided by the Client. Routine correspondence with IRCC is included. Pre-Removal Risk Assessment (PRRA) Preliminary Scope and Fee Allocation: If this agreement is executed prior to the Client receiving a PRRA notice, $1,500.00 of the total paid fee shall be allocated to the preliminary preparation of the PRRA file. This work includes the preparation and organization of available documentation and evidence based on the materials submitted for the refugee claim. Given the strict statutory deadlines associated with PRRA submissions, this allocation ensures the immediate commitment of the Firm’s resources to the file and secures the Firm’s availability. Should the Client receive a PRRA notice, a separate, formal retainer agreement detailing the full legal fees for the final preparation and submission of the application must be signed. The $1,500.00 preliminary fee will be credited toward the total legal fees upon execution of that formal PRRA retainer agreement. The Client acknowledges that PRRA eligibility, issuance, and timelines are determined by IRCC and are outside the Firm’s control. Limitations of Scope: This retainer covers routine legal services only. It does not include non-routine or complex services such as expert evidence, extensive affidavit drafting, CBSA enforcement matters, admissibility or exclusion proceedings, detention reviews, Ministerial interventions, reconsideration requests, appeals, Federal Court litigation (including judicial review, stays, or mandamus), refugee hearings, or any immigration matter not expressly listed above. Disbursements are not included, including but not limited to translation, interpretation, notarization, medical exams, expert reports, courier charges, and government fees. Additional or non-routine services will be billed at $500/hour unless otherwise agreed in writing. Acknowledgment: The Client acknowledges that eligibility for refugee protection, H&C relief, and PRRA is governed by the Immigration and Refugee Protection Act, related regulations, and applicable policies, including legislative changes such as Bill C-12, which may affect eligibility, process, or outcome. Fees and Payment: Fees are charged for professional services performed and are not contingent on the outcome. The total professional fee for the combined package for one person is: $13,742.82 (inclusive of 12% tax). Installments: 6 installments of $2,290.47 For each additional family member, an additional fee will be added: $3,435.70 per additional family member. No Refund Policy: Fees are earned as services are performed. All fees are strictly non-refundable once work has commenced. For the purposes of this agreement, "work performed" or "work done" is defined as the Firm having prepared the relevant files and documentation for filing. The Client acknowledges that the earned fees are based on the preparation of these materials and are entirely independent of the results, outcomes, or decisions made by immigration authorities regarding the applications. *

Pre-Removal Risk Assessment (PRRA) Legal Services: Scope of Work The Firm is retained to represent the Client in connection with a Pre-Removal Risk Assessment (“PRRA”) application. This retainer applies to both existing clients of Pax Law and new clients seeking representation for their PRRA matter. Under this retainer, the Firm’s services may include the following, as reasonably required by the Client’s matter: A. Review of Documentation and Current Circumstances Reviewing prior refugee claim files, including previously submitted narratives, evidence, and procedural history. Reviewing updated facts, current risk concerns, new developments, and any changes since the earlier refugee claim proceedings. Assessing the Client’s eligibility, timing, and readiness for a PRRA application. B. PRRA Case Preparation Taking updated instructions from the Client. Identifying and reviewing relevant new evidence, updated country condition documentation, and personal risk evidence. Preparing, drafting, editing, and finalizing PRRA forms, affidavit(s), supporting documents, and written submissions. Organizing and presenting the Client’s case in a clear and legally coherent manner, with attention to prior refugee claim history and any credibility or evidentiary issues arising from that history. Submitting the PRRA package to the appropriate authority, where the Firm is authorized and able to do so. C. Communication and File Conduct Reasonable communications with the Client regarding the PRRA file. Correspondence, as necessary, with IRCC, CBSA, or other relevant authorities regarding the PRRA matter. Providing updates on major procedural steps and decisions. Explanation of Service Tiers Tier 1: Pax Law Refugee Claim Clients This tier is intended for past refugee claim clients of the Firm. Because the Firm already maintains historical knowledge and records of the earlier refugee matter, this service focuses on updating the case and building on the prior record. Tier 2: External Refugee Claim Clients This tier is intended for clients whose previous refugee claims were handled by other firms or who were self-represented. This service requires a comprehensive initial review of external files and a full reconstruction of the case history. Payment Terms and Preliminary Work Commencement We will start working on your PRRA application based on the information you have provided us as soon as you sign the contract and prior to you receiving the PRRA package. This proactive approach ensures that we can provide a complete and high-quality submission within the strict 15-day deadline once the package is received. For the work performed prior to the receipt of the PRRA package, the Firm charges $1,500 plus 5% GST per person in the family (e.g., $3,000 plus 5% GST for a family of two). This portion of the fee is earned upon the commencement of work and is non-refundable. The total fee for this service is payable in six (6) monthly instalments. The first instalment is due on the day of signing the contract, with subsequent payments due every month thereafter until the balance is cleared. Excluded Services: Unless expressly stated otherwise in writing, this retainer does not include: reopening or revising the previous refugee claim file except to the extent necessary to prepare the PRRA; Federal Court proceedings, including applications for leave and judicial review or stay motions; humanitarian and compassionate applications; refugee appeal work; detention or inadmissibility proceedings; work permit, permanent residence, or other collateral immigration applications; interpretation, translation, notarization, expert evidence, medical evidence, filing fees, courier charges, or other disbursements; services required due to urgency, incomplete disclosure, new legal complications, or extraordinary procedural developments, unless separately agreed in writing. *

In-Land Permanent Residency Application for Refugees: This retainer covers the provision of legal services in relation to an in-Canada application for permanent residence for protected persons and refugees. The Firm will review the Client’s eligibility and immigration history, collect and organize supporting documentation, prepare and complete the permanent residence application forms, and submit the application through the appropriate Immigration, Refugees and Citizenship Canada (IRCC) portal where authorized and able to do so. The Firm will provide routine written correspondence with IRCC, respond to standard document requests, and conduct reasonable follow-up on the application until a decision is issued. The Firm will also provide general guidance regarding procedural steps and application requirements. This retainer covers routine services only and does not include non-routine or complex work, including but not limited to: requests for extensive additional documentation or explanations; admissibility issues; procedural fairness responses beyond standard scope; interviews; hearings; ministerial interventions; or any Federal Court proceedings, including judicial review or related litigation. Interpretation, translation, notarization, medical examinations, expert reports, filing fees, courier charges, and other disbursements are not included. Any additional or non-routine services will be billed separately at the Firm’s hourly rate of $500 per hour unless otherwise agreed in writing. The Client acknowledges that eligibility for permanent residence is governed by the Immigration and Refugee Protection Act and applicable regulations, including any legislative or policy changes, which may affect eligibility or processing. Fees are charged for professional services performed and are not contingent on the outcome of the application. Once work has commenced, fees are earned based on services performed and may not be refundable in the event of withdrawal, abandonment, delay, refusal to proceed, or changes in eligibility. The professional fee for this service depends on the number of applicants included in the application and includes applicable taxes and standard government or application-related fees. Citizenship Application: This service includes reviewing the information and documents you provide to assess apparent eligibility, advising on the requirements of the Citizenship Act and Regulations in force at the time of service, guiding you through the completion of all required IRCC forms, preparing and submitting the citizenship application package, communicating with Immigration, Refugees and Citizenship Canada as your authorized representative in connection with the application, and advising you on routine procedural steps following a decision; the stated fee covers a routine service only, and any extra or extraordinary work will be billed at an hourly rate of $500 per hour—for instance, if additional or unusual documents are requested, if there is a need to attend hearings or interviews, if complex prohibitions or admissibility issues arise, or if any non-standard intervention or follow-up is required.* The fee for standard processing, which are inclusive of 12% tax and government/application fees, are as follows: $2,329.75 for a single Principal Applicant; $4,659.50 for a family of two (Principal Applicant and Spouse/Partner); $5,599.50 for a family of three (including one minor child); $6,539.50 for a family of four (including two minor children); $7,479.50 for a family of five (including three minor children); and $8,419.50 for a family of six (including four minor children). *

Protected Person Travel Documents: If this application is to be done on a rushed basis, the fee for this service is $2,184 (legal fee after tax $1,680 × 1.3) plus government fees of $120 for an adult (or $57 for a child) for a total of $2,304 (or $2,241 for a child).** This includes reviewing eligibility based on your information, preparing and completing the application and required forms, assembling supporting documents, advising on the requirements for photos and guarantors, preparing payment of the government travel document fee, submitting the application to Immigration, Refugees and Citizenship Canada, and corresponding with the department as reasonably required; this is the fee for a routine service, and any extra or extraordinary work will be billed at an hourly rate of $500 per hour—for instance, if during a travel document application extra letters, detailed explanations, attendance at interviews or other additional work is requested there will be extra fees for that service.* The fee for standard processing, which are inclusive of 12% tax and government/application fees, are as follows: $1,520.00 for a single Principal Applicant; $3,040.00 for a family of two applicants; $4,560.00 for three applicants; $6,080.00 for four applicants; $7,600.00 for five applicants; and $9,120.00 for six applicants. * *

This retainer covers the provision of legal services in relation to the preparation and submission of both a Convention Refugee Claim and a Humanitarian and Compassionate (H&C) application for the Principal Applicant and any included family members. The scope includes legal consultation and case strategy, preparation and completion of all required forms, review and organization of supporting documents provided by the Client, preparation of standard supporting materials, and routine written correspondence with Immigration, Refugees and Citizenship Canada (IRCC), the Immigration and Refugee Board (IRB), and/or the Canada Border Services Agency (CBSA), as applicable. This retainer covers routine services only and does not include non-routine or extraordinary work, including but not limited to preparation of specialized evidence (such as military, security, or expert documentation), responding to extensive CBSA investigations, attendance at additional interviews beyond standard processing, representation at hearings, appeals, judicial review applications, ministerial interventions, exclusion proceedings, or post-decision matters, unless expressly agreed in writing. Judicial Review (Federal Court of Canada): Our standard professional fee for an Application for Leave and Judicial Review relating to a Temporary Resident Visa (including Visitor Record, Study Permit, and Work Permit refusals) is a flat fee of $2,962.00, inclusive of court filing fees and applicable disbursements. This fee applies regardless of the number of family members included in the same application, and no additional fees are charged for accompanying applicants in these matters. This scope of work includes a comprehensive review of the refusal decision and underlying record, detailed legal advice on the merits and litigation strategy, preparation and filing of the Notice of Application, drafting of supporting affidavits and written legal arguments, preparation, service, and filing of the Applicant’s Record, correspondence with the Department of Justice, representation at the Leave stage and, if Leave is granted, full representation at the Judicial Review hearing, as well as standard settlement discussions. These fees apply to routine Judicial Review services only. Any additional or extraordinary work will be billed at a rate of $500 per hour, including but not limited to the preparation of additional motions, responding to procedural complexities, pursuing certified questions, attending additional hearings, or addressing interventions by the Minister beyond the ordinary course of proceedings. Provincial Nominee Program (PNP) Provincial Nominee Program Services ($5,000 + 12% tax + $25 file opening fee= $5,625) The Provincial Nominee Program (PNP) is a permanent residence pathway administered by provincial governments in cooperation with Immigration, Refugees and Citizenship Canada (IRCC). Eligibility is generally based on an applicant’s education, work experience, job offer, and language proficiency. For clients residing, working, or studying in British Columbia, the British Columbia Provincial Nominee Program (BC PNP) is administered by the provincial government. The BC PNP evaluates applicants under established criteria, and those who meet the required thresholds may be invited to apply for nomination. If a nomination is issued, the application is then transferred to IRCC for final processing of permanent residence. Scope of Representation This retainer covers legal services relating to the preparation and submission of your PNP application only. Our services include advising you on eligibility, preparing your application package, reviewing supporting documents you provide, and submitting your application to the relevant PNP office. We will also communicate with the PNP office on your behalf as your legal representatives. Retainer Agreement for Obtaining Iranian Police Clearance Certificate This Retainer Agreement is made between Pax Law Corporation (the “Lawyer”) and the undersigned client (the “Client”). 1. Scope of Retainer The Lawyer is retained to provide administrative and consular assistance in connection with obtaining the Client’s Iranian Police Clearance Certificate. Such services may be carried out through one or both of the following channels, as determined by the circumstances of the Client’s case and the applicable procedures: a. submission, registration, follow-up, and coordination of the request through the competent authorities in Iran, including judicial, police, administrative, or related authorities; and/or b. submission, registration, follow-up, and coordination of the request through the Interests Section of the Islamic Republic of Iran in Washington, D.C., or any other authorized consular office, channel, or authority. The services covered by this retainer may include, where applicable: reviewing the Client’s documents and eligibility for the requested service; preparing, completing, and organizing the required forms and supporting materials; coordinating with the Mikhak system of the Ministry of Foreign Affairs of the Islamic Republic of Iran; assisting with the preparation or coordination of any required authorization or power of attorney; arranging for submission of the request through the appropriate channel; forwarding, mailing, couriering, or otherwise transmitting documents through postal, courier, consular, or official systems; tracking the status of the request and following up with the relevant authorities; and communicating with the Client regarding material updates in the file. 2. Nature of Services The services provided under this Agreement are limited to administrative, procedural, and consular follow-up in relation to the Client’s application for an Iranian Police Clearance Certificate. The Lawyer shall take such steps as are reasonably necessary to pursue the matter with due care, diligence, and good faith, in accordance with the applicable laws, regulations, procedures, and practices governing the issuance of such certificate. 3. Client’s Obligations The Client agrees and undertakes to: provide complete, accurate, and truthful information and documentation as requested by the Lawyer; promptly execute and deliver any forms, declarations, authorizations, consents, or supporting documents required for the file; cooperate fully with the Lawyer in the preparation and advancement of the matter; attend any required identification, fingerprinting, biometric, consular, or verification appointment, if applicable; and pay all fees, disbursements, and third-party charges related to the file in a timely manner. The Client acknowledges that any delay, omission, inaccuracy, inconsistency, or failure in providing the required documents, information, or cooperation may delay, prejudice, suspend, or prevent the processing of the request. 4. Exclusions from Scope of Retainer Unless expressly agreed in a separate written retainer, this Agreement does not include any of the following services: representation in any legal, judicial, criminal, civil, or administrative proceeding in Iran or elsewhere; legal advice or representation concerning the substance, accuracy, interpretation, or consequences of any criminal record, judicial matter, or security-related issue reflected in, affecting, or underlying the requested certificate; filing objections, appeals, complaints, petitions, or challenges against any refusal, delay, or decision of any Iranian authority or consular body; services relating to passport renewal, national identification documents, birth certificate matters, name change, nationality, military service, powers of attorney, document authentication, or any other consular service unrelated to the Iranian Police Clearance Certificate; certified translation, notarization, legalization, authentication, or submission of the certificate to any Canadian or foreign authority, unless separately retained; and any service arising after issuance of the certificate, unless expressly included in a separate written agreement. 5. No Guarantee and Limitation of Responsibility The Lawyer acts solely as the Client’s representative for the purpose of administrative and consular follow-up of the application. The Lawyer does not guarantee: that the certificate will be issued; that the certificate will be issued within any particular time; that the contents of the certificate will be in any particular form; or that the certificate will be accepted by any immigration authority, government office, employer, institution, or third party in Canada or elsewhere. The Client expressly acknowledges and agrees that the issuance, timing, form, and contents of the Iranian Police Clearance Certificate remain entirely subject to the laws, regulations, procedures, discretion, and final approval of the competent authorities of the Islamic Republic of Iran and any relevant consular authority. Without limiting the generality of the foregoing, the Lawyer shall not be liable for any refusal, delay, suspension, rejection, interruption, request for further documentation, administrative backlog, system outage, consular closure, mailing delay, procedural change, or decision made by: the judicial, police, administrative, or consular authorities of the Islamic Republic of Iran; the Interests Section of the Islamic Republic of Iran in Washington, D.C.; or any other official body, office, or authority involved in the process. 6. Professional Fees and Disbursements The professional fee for the services covered by this Agreement is CAD 500, plus applicable taxes. Unless expressly stated otherwise, the professional fee does not include any of the following, all of which shall be payable separately by the Client: official consular fees; governmental charges; Mikhak-related fees or expenses; postage, courier, mailing, and delivery costs; translation fees; notarization or authentication costs; fingerprinting or biometric charges; and any other third-party expense or disbursement incurred in connection with the file. 7. Processing Times The Client understands and accepts that processing times are variable and may be affected by factors beyond the Lawyer’s control, including administrative procedures in Iran, consular practices, document review requirements, system interruptions, holidays, staffing issues, mailing times, and changes in official procedures or legal requirements. No representation or undertaking is given as to the time required for completion of the matter. 8. Entire Agreement This Agreement constitutes the entire retainer agreement between the Lawyer and the Client with respect to the subject matter described herein and supersedes all prior discussions, communications, understandings, or representations, whether oral or written, relating to the same subject matter. No amendment to this Agreement shall be valid unless made in writing and signed by both parties. *

These services include completing and submitting the required forms, coordinating with the “Mikhak” system of the Iranian Ministry of Foreign Affairs, collecting and preparing the necessary documents, sending and tracking them through postal or official systems, and keeping the Client informed about the progress of the case. 2. Lawyer’s Obligations: The Lawyer undertakes to perform all administrative actions necessary to pursue the passport renewal request in accordance with the current laws and regulations of the Islamic Republic of Iran, and with due care and good faith. The Lawyer shall also keep the Client informed of the main stages of the process and any significant correspondence related to the file. 3. Client’s Obligations: The Client undertakes to provide all required documents accurately and in full to the Lawyer, pay all official consular and postal or incidental fees, and cooperate with the Lawyer in completing forms or providing any necessary information. 4. Scope Limitations and Exclusions: This Agreement solely concerns administrative actions and follow-ups related to the renewal of the Client’s Iranian passport. The following services are not included within the scope of this Agreement and shall only be performed under a separate written agreement between the parties: Pursuing legal or judicial cases in Iran; Matters related to nationality, name change, or birth certificate; Other consular services unrelated to passport renewal (such as powers of attorney, certificates of celibacy, document authentication, etc.). 5. Disclaimer: The Lawyer acts solely as the Client’s representative and administrative agent and shall not bear any responsibility for the decisions, delays, or refusals issued by Iranian consular or administrative authorities. The Client acknowledges that the issuance or renewal of a passport is subject to the legal approval of the competent authorities of the Islamic Republic of Iran. The professional fee for this service is CAD 350 (three hundred fifty Canadian dollars), which does not include the official consular fees payable to the Interests Section or applicable Canadian taxes. *

Scope of Services and Responsibilities The Lawyer, who holds an Attorney-at-Law license from the Iranian Bar Association and a Practitioner of Foreign Law (PFL) permit from the Law Society of British Columbia, undertakes to provide, in accordance with professional and legal regulations, the necessary legal services for the registration or recognition (tanfiz) of a foreign divorce in Iran. The services include the following: 1. Reviewing the foreign divorce documents, including the official divorce decree or certificate issued by the foreign jurisdiction and all related supporting documentation. 2. Determining the appropriate legal procedure based on the available documents — either registration of the divorce through the Mikhak Consular System or filing a petition for recognition (tanfiz) of the foreign divorce judgment before the competent Iranian court. 3. Coordinating with a licensed attorney in Iran to pursue the judicial or administrative procedures required for the recognition or official registration of the divorce. 4. Supervising the process until the issuance of the final judgment or confirmation certificate and ensuring the formal registration of the divorce in the relevant Iranian registry offices, followed by the delivery of the official documents to the Client. Exclusions and Limitations Given the scope of the Lawyer’s professional activity, the following matters are excluded from the Lawyer’s obligations under this agreement: 1. Personally appearing before Iranian courts or official notary offices. 2. Guaranteeing the selection of a specific procedure (recognition or Mikhak registration) prior to the complete review of the documents. 3. Guaranteeing the issuance of a judgment, confirmation, or registration within a specific period, as the final decision lies within the exclusive authority of Iranian judicial and administrative bodies. 4. Following up on any related legal matters such as mahr (dowry), alimony, or custody, unless a separate agreement is made. 5. Providing any legal advice or services concerning family law under the laws of other jurisdictions. *

Scope of Services and Responsibilities The Lawyer, who holds an Attorney-at-Law license from the Iranian Bar Association and a Practitioner of Foreign Law (PFL) permit from the Law Society of British Columbia, undertakes to provide, in accordance with professional and legal regulations, the necessary legal services for the registration of various types of commercial companies in Iran. The services include the following: 1. Reviewing the identification documents, information of partners and shareholders, and other supporting materials required for the establishment of a company under the Iranian Commercial Code. 2. Providing legal consultation regarding the selection of an appropriate company type (including but not limited to limited liability companies, private joint-stock companies, general partnerships, cooperatives, etc.), determining initial capital, share distribution or ownership ratio, management structure, and scope of managerial authority. 3. Drafting and preparing the founding documents of the company, including the articles of association, memorandum of association, declaration, minutes of the founders’ meeting, and any other necessary documents for registration with the Companies Registration Office and Non-Commercial Institutions of Iran. 4. Coordinating with a licensed attorney in Iran to complete the registration process, obtain the company’s registration number, national ID, and official certificate of incorporation from the competent authority. 5. Supervising the registration process until the final certificate of incorporation is issued and ensuring delivery of official copies of all registered company documents to the Client. Exclusions and Limitations Given the scope of the Lawyer’s professional activity, the following matters are excluded from the Lawyer’s obligations under this agreement: 1. Personally appearing before the Companies Registration Office or any other official authority in Iran. 2. Following up on post-registration amendments such as changes in capital, directors, partners, dissolution, or conversion of company type, unless a separate agreement is made. 3. Performing financial, tax, or accounting tasks, including opening tax files, obtaining an economic code, or maintaining statutory ledgers. 4. Guaranteeing the issuance of the registration certificate within a specific timeframe or without objections from the registration authority. 5. Providing any consultation or services related to corporate law in other jurisdictions. *

ATIP Request – GCMS Notes Only The Client retains Pax Law Corporation to prepare, submit, and follow up on an Access to Information and Privacy (ATIP) request for the purpose of obtaining Global Case Management System (GCMS) notes and related electronic records pertaining to the Client’s immigration file held by Immigration, Refugees and Citizenship Canada (IRCC) and/or the Canada Border Services Agency (CBSA). This service includes determining the scope of the request, drafting and submitting the ATIP application, monitoring statutory processing timelines, reviewing and analyzing the disclosed records in the context of the Client’s case, and providing the reviewed materials and analysis to the Client upon receipt. The legal fee for this service is $500, exclusive of applicable taxes and government disbursements. 2. ATIP Request – Full Records, Reasons, and Decision-Maker Documents The Client retains Pax Law Corporation to prepare, submit, and follow up on a comprehensive Access to Information and Privacy (ATIP) request seeking all records related to the assessment and decision of the Client’s immigration application, including but not limited to GCMS notes, internal correspondence, officer and program assistant notes and assessments, reasons for decision, procedural fairness records, and all documents relied upon by the decision-maker at Immigration, Refugees and Citizenship Canada (IRCC) and/or the Canada Border Services Agency (CBSA). This service includes determining the appropriate scope of disclosure, drafting and submitting the ATIP request, monitoring statutory timelines, reviewing and analyzing the disclosed records in relation to the Client’s case, and providing the reviewed materials and analysis to the Client upon receipt. Conducting legal analysis of the matter and providing legal advice on the most appropriate course of action, including initiating a lawsuit, defending against a claim, or pursuing administrative proceedings before registration or judicial authorities. 3. Introducing and coordinating with a licensed attorney in Iran to initiate or defend the case before the competent court, attend hearings, submit statements of defense, and obtain the final judgment. 4. Supervising the enforcement of the judgment and undertaking necessary measures for registration, transfer, annulment, or delivery of the property in accordance with the final decision, and coordinating the delivery of official copies of the final documents to the Client. Exclusions and Limitations Given the scope of the Lawyer’s professional activity, the following matters are excluded from the Lawyer’s obligations under this agreement: 1. Personally appearing before Iranian courts, land registration offices, or any other official authorities in Iran. 2. Guaranteeing any specific outcome or the issuance of a judgment within a certain period, as the final decision rests solely with the competent Iranian judicial authorities. 3. Following up on non-real-estate cases such as criminal, family, or commercial disputes, unless a separate agreement is made. 4. Performing any executive tasks, including title transfer or collection of funds. 5. Providing any legal advice or services concerning real estate laws in other jurisdictions. *

The services include the following: 1. Carefully reviewing the details and ownership documents of the property or asset provided by the Client. 2. Drafting the Power of Attorney for sale in a manner that includes all authorizations and powers requested by the Client. 3. Providing legal consultation to the Client regarding the scope of authority, legal implications, and responsibilities arising from the Power of Attorney. 4. Guiding the Client in the process of registration and confirmation of the Power of Attorney through the Mikhak Consular System and facilitating its execution through the Interests Section of the Islamic Republic of Iran in Washington, D.C., until the official version is finalized and ready for use in Iran. Exclusions and Limitations Under this agreement, the Lawyer shall not bear any responsibility or obligation with respect to the following matters: 1. Conducting or executing any transaction, or appearing before a notary public in Iran on behalf of the Client. 2. Following up on the registration of title transfer, receipt of payment, or delivery of property after the Power of Attorney has been issued, unless agreed upon under a separate contract. 3. Guaranteeing any specific result, the issuance of the Power of Attorney within a certain period, or its final approval by the consular authorities. 4. Providing legal advice or services related to Canadian law or the laws of any jurisdiction other than Iran. *

The services include the following: 1. Assessing the Client’s needs and determining the exact type of administrative Power of Attorney required (including but not limited to banking, taxation, insurance, educational, civil registration, property, and other administrative matters). 2. Drafting the Power of Attorney text with precise definition of the scope of authority, in accordance with the formal and substantive requirements of Iranian law. 3. Guiding the Client through the process of registration and confirmation of the Power of Attorney via the Mikhak Consular System, and facilitating consular follow-up through the Interests Section of the Islamic Republic of Iran in Washington, D.C. 4. Coordinating with the Client until the Power of Attorney is finalized and the official version is prepared for transmission and use in Iran. Exclusions and Limitations Given the Lawyer’s jurisdictional limitations in Canada, the following matters are excluded from the Lawyer’s obligations under this agreement: 1. Appearing before or taking direct administrative action at any governmental or administrative authority within Iran. 2. Following up on or ensuring the outcome of administrative processes in Iran after the Power of Attorney has been issued, unless a separate written agreement is made. 3. Guaranteeing any specific timeframe for the issuance or final approval of the Power of Attorney by the Mikhak system or the Interests Section of Iran in Washington, D.C. 4. Providing any legal consultation or services related to Canadian law or the laws of any other jurisdiction outside Iran. *

The services include the following: 1. Reviewing the marriage certificate, identification documents, and all supporting evidence and materials related to the grounds for divorce. 2. Providing legal advice regarding the types of divorce initiated by either spouse, the required documentation, legal implications, and relevant statutory obligations. 3. Introducing and coordinating with a licensed attorney in Iran to file the divorce petition, represent and protect the Client’s rights, attend court sessions, and obtain the final judgment from the competent court. 4. Supervising the post-judgment procedures, including the official registration of the divorce with the notary office and arranging delivery of the official divorce certificate to the Client. Exclusions and Limitations Given the scope of the Lawyer’s professional activity, the following matters are excluded from the Lawyer’s obligations under this agreement: 1. Personally appearing before Iranian courts or official notary offices. 2. Guaranteeing the issuance of a divorce judgment, or the issuance of such judgment within a specific timeframe or with a particular outcome, as the final decision lies solely within the authority of the competent Iranian court. 3. Guaranteeing the approval or endorsement of the Shareholders’ Agreement by all shareholders or registration authorities, as such approval depends on the parties’ final consent and applicable legal requirements. 3. Following up on disputes or litigation arising from future disagreements among shareholders, unless a separate agreement is made. 4. Performing any administrative or financial tasks of the company related to the implementation of the agreement’s provisions. 5. Family Law Agreement Drafting (British Columbia) Marriage Agreement (Pre-Nuptial Agreement). The Lawyer’s services are limited to advising the Client regarding a proposed marriage agreement under the Family Law Act (British Columbia), obtaining instructions, and preparing a draft agreement that reflects the Client’s stated objectives. This includes discussing the legal framework for the division of property and debt, spousal support, and related financial arrangements that may be addressed by agreement, and providing advice on enforceability considerations (including financial disclosure, independent legal advice, and negotiation process). Unless expressly agreed in writing, the Lawyer does not provide services relating to tax planning, corporate/commercial structuring, estate planning, or the valuation of assets, and does not guarantee that the other party will accept the Client’s proposed terms. Cohabitation Agreement. The Lawyer’s services are limited to advising the Client regarding a cohabitation agreement under the Family Law Act (British Columbia), taking instructions, and preparing a draft agreement to govern the parties’ rights and obligations while living together and, where applicable, upon separation. This may include provisions addressing property and debt, allocation of expenses, spousal support, and other agreed financial arrangements, together with advice on the steps commonly required to improve enforceability (including meaningful financial disclosure and independent legal advice). Unless expressly agreed in writing, the Lawyer will not provide business, tax, or estate-planning advice, will not act for the other party, and will not be responsible for obtaining appraisals, valuations, or expert reports. Separation Agreement. The Lawyer’s services are limited to advising the Client regarding a separation agreement under the Family Law Act (British Columbia) (and, where relevant, the Divorce Act), gathering instructions, and preparing a draft separation agreement intended to resolve identified issues arising from separation. Preparation for CBSA Interview The Lawyer will prepare materials, guidance, and instructions to assist the Client in understanding the nature and purpose of the upcoming interview with the Canada Border Services Agency (“CBSA”), and will conduct preparatory meetings with the Client to assist them in presenting accurate and truthful information during the interview. Attendance at CBSA Interview / Hearing The Lawyer will attend a CBSA interview or hearing with the Client at the CBSA Vancouver office, for up to three (3) hours, for the purpose of observing the interview and providing support to the Client before and after the questioning. Limitations on Lawyer’s Role at CBSA Interviews The Client acknowledges that during a CBSA interview or examination, a lawyer may attend only as an observer and is not permitted to speak, intervene, object, or otherwise participate in the questioning in any manner. The Lawyer’s presence is strictly limited to observing the process and providing advice to the Client before and after the interview, but not during the questioning itself. *

Scope of Legal Services – Immigration Appeal Division (IAD) Subject to the terms of this Retainer Agreement, the Lawyer agrees to provide legal services to the Client solely in relation to an appeal to the Immigration Appeal Division (IAD) of the Immigration and Refugee Board of Canada arising from the refusal of the Client’s family class (spousal sponsorship) application. The legal services to be provided under this retainer include the following: 1. Appeal Initiation and Procedural Management Reviewing the refusal decision and applicable legislative and regulatory framework; Preparing and filing the Notice of Appeal with the Immigration Appeal Division within the applicable statutory deadline; Managing communications with the Immigration Appeal Division, Immigration, Refugees and Citizenship Canada (IRCC), and Minister’s Counsel in relation to the appeal; Monitoring procedural timelines and compliance with IAD directions and deadlines. 2. Record Review and Case Assessment Reviewing the Appeal Record once received, including: GCMS notes; Interview notes and refusal reasons; Supporting documentation previously submitted to IRCC; Conducting a legal and factual assessment of the strengths, weaknesses, and credibility issues identified in the refusal decision; Advising the Client on appeal strategy, including the likelihood of success, evidentiary requirements, and procedural options. 3. Evidence Strategy and Appeal Preparation Developing an appeal theory addressing the genuineness of the relationship and/or primary purpose concerns under section 4 of the Immigration and Refugee Protection Regulations; Advising the Client on the type, form, and content of additional documentary evidence to be gathered in support of the appeal; Reviewing, organizing, and preparing documentary evidence for submission to the IAD; Drafting written submissions, affidavits, or statutory declarations as reasonably required for the appeal. 4. Alternative Dispute Resolution (ADR), If Applicable Assessing the suitability of the appeal for resolution through the IAD’s Alternative Dispute Resolution (ADR) process; Preparing the Client for an ADR conference, if scheduled; Representing the Client at one (1) ADR conference, if convened. 5. Scope of Legal Services – Reviving an Abandoned Refugee Claim: Reviving an Abandoned Refugee Claim: The legal fee for this service is $3,000 plus 12% tax in the amount of $360 for a total of $3,360 inclusive of tax and exclusive of disbursements unless otherwise stated, and this retainer covers legal services related to seeking to revive or reopen a refugee claim that has been declared abandoned by the Refugee Protection Division of the Immigration and Refugee Board of Canada, including conducting an initial legal consultation to review the procedural history of the claim and the abandonment decision, reviewing all relevant documentation such as prior correspondence from the IRB, notices to appear, the abandonment decision, the Basis of Claim form, and any prior submissions, assessing whether there are legal and factual grounds to request that the Refugee Protection Division reopen the claim pursuant to the Immigration and Refugee Protection Act, the Refugee Protection Division Rules, and applicable jurisprudence, preparing written submissions in support of the application to reopen and set aside the abandonment finding, drafting supporting affidavits and advising the client regarding documentary evidence required to establish a reasonable explanation for the abandonment and a continuing intention to pursue the refugee claim, filing the application to reopen within the applicable timelines, corresponding with the Immigration and Refugee Board in relation to the reopening request, preparing the client for and attending one reopening hearing if scheduled, and providing legal advice regarding the potential outcomes and next procedural steps, provided that this fee covers routine legal work associated with one reopening application only and does not include judicial review proceedings before the Federal Court of Canada, preparation of a new refugee claim or Pre-Removal Risk Assessment application, representation in enforcement or admissibility proceedings, removal-related matters, applications for stays of removal, or any extraordinary, complex, or additional work beyond the standard reopening process, all of which will be billed separately at the firm’s hourly rate pursuant to a separate agreement, and the client acknowledges that the decision to reopen an abandoned refugee claim is discretionary and that no guarantee, warranty, or representation has been made regarding the outcome of the application. *

Provincial Nominee Program (Entrepreneur Stream) - The Law Firm (the "Firm") is retained by the Client to provide comprehensive legal representation for the family's transition to Canada via a Provincial Nominee Program (PNP) Business Stream. The Flat Fee of $65,000 covers all professional legal services required for the following stages: 1. Business Concept & Strategy Phase Business Plan Development: The Firm will research, draft, and finalize a comprehensive, province-specific Business Plan. This includes market analysis, 3-year financial projections (cash flow, P&L, balance sheets), job creation strategies, and regulatory compliance research. Net Worth Verification: Assistance in organizing and documenting the Client’s global net worth (assets, liabilities, and business ownership) to meet provincial audit standards. 2. Provincial Nomination Phase (Stage 1) Expression of Interest (EOI): Preparation and submission of the initial EOI or business concept to the chosen Province (e.g., New Brunswick). Full Provincial Application: If invited to apply, the Firm will prepare the complete provincial application package, including all statutory forms, business supporting documents, and legal submissions. Interview Coaching: Preparation of the Client for the mandatory provincial interview regarding their business experience and Canadian business goals. No information may be kept confidential within a joint retainer. 13.3 Continuing Conflict Assessment We must continually assess whether a conflict of interest exists or arises under LSBC Rules 3.4-1 to 3.4-10. 13.4 If a Conflict Arises If a conflict arises, the Firm may be required to: (a) cease acting for all clients, or (b) continue for one client only if all affected clients give informed written consent and LSBC rules allow it. 13.5 Mandatory Withdrawal If we determine that continuing to act would breach LSBC rules, we must withdraw—even if inconvenient for the clients. 13.6 Independent Legal Advice Joint clients are encouraged to seek independent legal advice before agreeing to a joint retainer. ⸻ 14. Limitation of Liability To the extent permitted by law, our liability is limited to direct losses caused by our gross negligence or willful misconduct. We are not liable for: • misrepresentations or forged documents provided by you or others; • government delays or decisions; • currency or banking issues; • policy changes beyond our control; • indirect, consequential, or special damages. Nothing in this agreement limits liability where prohibited by law or LSBC rules. ⸻ 15. File Retention and Destruction Your file will be retained for at least seven (7) years after the matter concludes, in compliance with LSBC requirements. After that period, it may be securely destroyed unless you request earlier return of materials. ⸻ 16. Dispute Resolution If a dispute arises regarding fees or services, you agree to attempt resolution through discussion and, if needed, mediation or arbitration before commencing litigation. ⸻ 17. Professional Liability Insurance Disclosure Pax Law Corporation and its lawyers are insured for professional liability through the mandatory insurance program of the Law Society of British Columbia. Details are available upon request. ⸻ 18. Credit Card Authorization and Consent By signing this agreement, you authorize the Firm to charge your credit card for fees, disbursements, and other amounts owing. Industry-standard security measures are used. You may revoke consent in writing at any time, subject to outstanding balances. ⸻ 19. Acknowledgment By signing the retainer agreement, you confirm that you understand these terms, have had the opportunity to seek independent legal advice, and agree to be bound by them. *
